Mayo A. Shattuck III
Chairman of the Board, President and Chief Executive Officer, Constellation Energy -
Mayo Shattuck was appointed President and Chief Executive Officer of Constellation Energy Group effective November 1, 2001, and was elected Chairman of the Board in July 2002. Prior to joining Constellation Energy, he was with Deutsche Bank, where he served as Chairman of the Board of Deutsche Bank Alex. Brown and, during his tenure, served as Global Head of Investment Banking and Global Head of Private Banking.
From 1997 to 1999, he served as Vice Chairman of Bankers Trust Corporation, which merged with Deutsche Bank in June 1999. From 1991 until 1997, Mr. Shattuck was President and Chief Operating Officer and a Director of Alex. Brown Inc., which merged with Bankers Trust in September 1997.
He received his Bachelor of Arts degree from Williams College and his Master of Business Administration degree from Stanford University where he graduated as an Arjay Miller Scholar. Mr. Shattuck has received an honorary Doctor of Public Service degree from the University of Maryland Baltimore County.
Mayo Shattuck currently serves as a Director of Gap Inc. and is Chairman of its Audit and Finance Committee and is a Director of Capital One Financial Corporation and is Chairman of its Compensation Committee. Mr. Shattuck is a member of the board of the Edison Electric Institute (EEI), the Nuclear Energy Institute (NEI), and is Vice Chairman of the Board of the Institute of Nuclear Power Operations (INPO). He is a member of the Board of Trustees of Johns Hopkins Medicine and Chairman of the Board of Visitors of the University of Maryland Baltimore County.
A resident of Baltimore and originally from Massachusetts, Mr. Shattuck is married and has five children.

Michael J. Wallace
Vice Chairman and COO, Constellation Energy; Chairman, UniStar Nuclear Energy; Chairman, Constellation Energy Nuclear Group, LLC. -
Michael (Mike) J. Wallace is vice chairman and COO of Constellation Energy, chairman of UniStar Nuclear Energy, and chairman of Constellation Energy Nuclear Group, LLC, a joint venture of Constellation Energy and the EDF Group, an energy market leader in Europe.
Prior to joining Constellation Energy Group, Mr. Wallace was managing director of Barrington Energy Partners, LLC, a strategic consulting firm specializing in energy industry transactions and advisory services. He co-founded the firm in 1998 and has advised energy company executives on mergers and acquisitions, transaction financing, and market and investment opportunities.
Before joining Barrington Energy, Mr. Wallace had more than 25 years of senior executive and utility operations experience. From 1993 to 1999, he was senior vice president with Unicom/ComEd of Illinois, a $7 billion utility serving 3.4 million customers. He was also ComEd's chief nuclear officer, responsible for the operation of the company's 12 nuclear generating units at six power plant sites.
Mr. Wallace began with Unicom/ComEd in 1974 as a principal engineer, managing various responsibilities associated with the design, procurement and construction of power plants. He became plant manager in 1979, then executive and manager in 1982, and vice president in 1990. In his tenure he had responsibility for the completion of the Braidwood and Byron Nuclear Stations of Commonwealth Edison.
Mr. Wallace has a Bachelor of Science degree in electrical engineering from Marquette University and a Master of Business Administration degree from the University of Chicago, with a specialization in finance. He also served as a naval officer in the U.S. Navy nuclear submarine force.
He is a member of the National Infrastructure Advisory Council (NIAC) which advises the President on matters related to homeland security, chairman of the Nuclear Sector Coordinating Council under the Department of Homeland Security's National Infrastructure Protection Plan, director of Nuclear Electric Insurance Limited (NEIL) and a member of Marquette College of Engineering's National Advisory Council.
He is active in a variety of boards and organizations, including those associated with Boy Scouts of America, Big Shoulders Fund of Chicago, Catholic Charities of Maryland and Ocean Race Chesapeake.
Mr. Wallace is married to Victoria Lynn Wallace and resides in Annapolis, Md. He has two married children and four grandchildren. Coastal and blue water sailing is a shared family recreational passion.

Henry B. Barron
Executive Vice President of Constellation Energy; President, CEO and Chief Nuclear Officer of Constellation Energy Nuclear Group -
Brew Barron joined Constellation Energy on April 1, 2008, as executive vice president of Constellation Energy and president, chief executive officer and chief nuclear officer of Constellation Energy Nuclear Group. He is responsible for nuclear development opportunities and oversight of Constellation Energy's nuclear generation fleet, which includes the Calvert Cliffs Nuclear Power Plant in Lusby, Md., Nine Mile Point Nuclear Station in Scriba, N.Y., and R.E. Ginna Nuclear Power Station near Rochester, N.Y.
Mr. Barron has nearly 35 years of experience in the energy industry. He joined Constellation Energy from Duke Energy where he held the position of group executive and chief nuclear officer. He joined Duke Power in 1972 as an engineer at the Oconee Nuclear Station near Seneca, S.C., and subsequently held positions of increasing responsibility at all three Duke Energy Nuclear Power Stations.
From 1994 through 1996, he served as vice president and general manager of nuclear operations at the Department of Energy's Idaho National Engineering as part of the Duke Engineering & Services, LLC, subsidiary. He is past chairman of the board of governors for Duke, Cogema, Stone & Webster, LLC, a joint venture formed to design, construct and operate a mixed-oxide fuel fabrication facility for the Department of Energy.
Mr. Barron has been a registered professional engineer in North Carolina, South Carolina and Idaho. He has held a Nuclear Regulatory Commission-issued reactor operator license for Oconee Nuclear Station and a senior reactor operator license for McGuire Nuclear Station, both owned and operated by Duke Power. He is past chairman of the Executive Committee of the Westinghouse Owners Group. He is a current member of the American Nuclear Society where he served as chairman of the reactor operations division and chairman of the Piedmont-Carolinas Section. Mr. Barron is also a member of the accreditation board of the National Academy for Nuclear Training and the Department of Energy Nuclear Energy Advisory Committee.
A native of Fair Haven, N.J., Mr. Barron graduated from the University of Virginia with a Bachelor of Science degree in nuclear engineering.
Mr. Barron was born in 1950. He and his wife, Jacqueline, have two daughters and five grandchildren.

James L. Connaughton

The Honorable James L. Connaughton, executive vice president, corporate affairs, public and environmental policy, directs Constellation Energy's environmental and energy policy matters, as well as public and government affairs. He leads a comprehensive public and environmental policy agenda as the company leverages the strength of its low-emitting merchant fleet, expanding renewable portfolio and energy efficiency services, and its position as a leader in advancing the critical renaissance of emission-free nuclear energy.
Prior to joining Constellation Energy in February 2009, Mr. Connaughton served as chairman, White House Council on Environmental Quality from 2001-2009. In this capacity, he served on President Bush's senior staff as senior environment, energy and natural resources advisor, and as director of the White House Office of Environmental Policy.
During his service with the federal government, Mr. Connaughton worked closely with the president, his Cabinet and the Congress to develop and implement climate change, air pollution and energy security policies. This work led to a series of new mandatory programs, incentives, technology initiatives and public-private partnerships that included bipartisan energy legislation in 2005 and 2007, nearly $90 billion for clean energy technology research and incentives to accelerate commercial deployment of low-carbon technologies such as plug-in hybrid vehicles, renewable fuels, nuclear, solar, wind, and carbon capture and storage from coal power generation. Internationally, Mr. Connaughton helped establish a broad series of technology initiatives, the public-private Asia Pacific Partnership on Clean Development and Climate Change, and the Major Economies Leaders Meetings on Energy and Climate, in which Mr. Connaughton served as the president's personal representative.
Mr. Connaughton also played a leading role in other major initiatives that included new air quality standards, major reductions in air pollution from power plants and diesel vehicles, improved management of public forests, greater conservation on farms, millions of acres of wetlands protection and restoration, cleanup and redevelopment of more than 10,000 abandoned industrial sites, international environmental cooperation agreements, environmental management and performance of federal government operations, and the creation of some of the world's largest and most ecologically diverse marine conservation areas.
Prior to his public service, Mr. Connaughton was a partner in the environmental practice group at the law firm Sidley Austin, where he played a leading role in the development and implementation of the ISO 14000 series of international environmental management and performance standards.
Mr. Connaughton is a trustee of the National Marine Sanctuary Foundation. A native of Maryland, he is a graduate of Yale University and graduated second in his class, magna cum laude, Order of the Coif, from the Northwestern University School of Law. In 2008, Northwestern University honored him with its Distinguished Alumni Award. He is married with two children.

Paul J. Allen

Paul J. Allen is responsible for Constellation Energy's government affairs, public policy portfolio and environmental initiatives. He is chairman of the corporate environmental policy committee. Allen joined Constellation Energy in 2001 as Vice President, Corporate Affairs. Before joining the company, Mr. Allen had worked closely with Constellation Energy for several years in his capacity as Senior Vice President and Group Head at Ogilvy Public Relations, Washington, D.C., where he managed the firm's energy and environment practice.
In his 10 years at Ogilvy PR, Mr. Allen's clients included the Ford Motor Company, BP-Amoco, Edison International and Edison Mission Energy, the Edison Electric Institute (EEI), the Electric Power Research Institute (EPRI), and the Alliance for Competitive Electricity (ACE) as well as other energy companies and environmental NGOs.
Prior to joining Ogilvy in 1991, he served for five years on the senior staff of the Natural Resources Defense Council. Before his tenure at NRDC, he was press secretary for U.S. Senator Christopher Dodd and participated in the Senator's reelection campaign in 1986.
In 1979 Mr. Allen began working for National Public Radio where he was editor of the daily national news program, "Morning Edition." He also served as foreign news editor for all NPR news programs until joining Senator Dodd's staff in mid-1985.
Mr. Allen graduated from the University of Colorado.
Mr. Allen currently is the Chairman of the Chesapeake Bay Trust and serves as a member of the board of the Strathmore Hall Foundation.

Charles A. Berardesco

Charles A. Berardesco serves as Constellation Energy's Senior Vice President, General Counsel, Corporate Secretary and Chief Compliance Officer. He has primary responsibility for the company's legal strategies and policies, including corporate governance, legal compliance and ethics, corporate finance activities, mergers and acquisitions, and litigation.
Mr. Berardesco formerly served as Vice President and Deputy General Counsel, a position he held since September 2006. He joined Constellation Energy in January 2003 as Associate General Counsel and was appointed Chief Compliance Officer and Corporate Secretary in 2005.
Prior to joining Constellation Energy, Mr. Berardesco had practiced law for nearly 20 years, both in-house and with law firms. He served as Vice President, General Counsel & Corporate Secretary of Fusura, a consortium of AIG, Kemper and Prudential, and Senior Vice President, General Counsel & Corporate Secretary of HCIA, a publicly held health care information company. He was Counsel with the national law firm of Piper Rudnick (now DLA Piper), where he focused on corporate finance and mergers and acquisitions, and a partner in the law firm of Whiteford, Taylor & Preston, where he chaired the firm's corporate department and served as a member of its executive committee.
Mr. Berardesco is also active in a number of charitable organizations, including having served as Chairman of the Board of the Woodbourne Center, President of the Presbyterian Home of Maryland, Chair of the Church Council of Foundry United Methodist Church and a member of the Board of Directors of the Baltimore Choral Arts Society. He is also a member of the Business Council of the Human Rights Campaign, the largest civil rights organization working to achieve equality for lesbian, gay, bisexual and transgender Americans.
Mr. Berardesco received his Juris Doctor (with high honors) in 1983 from The George Washington University, where he was the Managing Editor of The George Washington Law Review, and his Bachelor of Arts (magna cum laude) in 1980 from Duke University.

Brenda L. Boultwood
Senior Vice President and Chief Risk Officer, Constellation Energy -
Brenda Boultwood is senior vice president and chief risk officer for Constellation Energy. Ms. Boultwood leads risk management activities for Constellation Energy and its businesses, including defining and assessing enterprise-wide business risks and facilitating proactive decision-making to effectively manage the risks associated with each business line.
Prior to joining Constellation Energy, Ms. Boultwood most recently served as global head of strategy, Alternative Investment Services for J.P. Morgan Chase & Company, where she was responsible for developing strategy for the company's Hedge Fund Services, Private Equity Fund Services, Leveraged Loan Services and Global Derivative Services business lines. During her tenure at J.P. Morgan Chase, she also served as global head, strategic risk management for its Treasury Services group and as global business head, Global Derivative Services of its Alternative Investment Services group. Boultwood joined J.P. Morgan Chase when it acquired Bank One Corporation in 2003. Prior to the merger, Ms. Boultwood held risk management positions with Bank One Corporation, having served as head, corporate market risk management and head, corporate operational risk management, and then advancing to head, global risk management for its Global Treasury Services group. Ms. Boultwood also worked with PricewaterhouseCoopers as a senior manager in its Financial Risk Management Consulting Practice and was employed with Chemical Bank Corporation as a financial engineering associate. In addition, Ms. Boultwood spent six years teaching in the University of Maryland's Master of Business Administration program.
Ms. Boultwood graduated with honors from the University of South Carolina with a bachelor's degree in international relations. Ms. Boultwood also earned a Ph.D. in economics from the City University of New York.

Kenneth W. DeFontes
President and CEO, Baltimore Gas and Electric Company, and Senior Vice President, Constellation Energy -
Kenneth W. DeFontes, Jr. is President and Chief Executive Officer of Baltimore Gas and Electric Company (BGE). He served as Vice President, Electric Transmission and Distribution from 2000 to 2004.
Mr. DeFontes joined BGE in 1972 as an associate engineer and has held various leadership positions, including supervisor, general supervisor, manager and vice president.
Mr. DeFontes served in the Maryland Air National Guard from 1972 to 1978 and was honorably discharged as staff sergeant.
Mr. DeFontes is a member of the American Society of Mechanical Engineers and a board member of the American Gas Association, Southeastern Electric Exchange, and Reliability First Corporation.
Other memberships include St. Joseph Medical Center Operating Board of Trustees, Baltimore Symphony Orchestra Board of Trustees, Economic Alliance of Greater Baltimore Board of Directors, Johns Hopkins Whiting School of Engineering National Advisory Council, The Center Club, Baltimore Country Club, and the Harford Flying Club.

Andrew L. Good
Senior Vice President, Corporate Strategy and Development, Constellation Energy -
Andrew L. Good was named Senior Vice President, Corporate Strategy and Development in November 2009. In this role, he has primary responsibility for assessing strategic and tactical opportunities for capital investment in support of Constellation Energy's longer-term objectives.
Mr. Good joined Constellation Energy in 2004 as Senior Vice President, Finance. In April 2007, he was named Senior Vice President and Chief Financial Officer of Constellation Energy Resources (CER), where he was responsible for all of CER's financial matters. In 2009, he played a lead role in bringing the Constellation Energy Nuclear Group, LLC, nuclear joint venture with EDF Group to a successful close.
Before joining Constellation Energy Group, Mr. Good worked at GE for eight years, where he held a variety of roles within GE's Finance and Capital Markets organizations.
Mr. Good earned a Bachelor's of Science in Economics from MIT and master's degree in business administration from the University of Chicago. He currently serves on the board of the National Aquarium in Baltimore.
He, his wife, and their two young daughters reside in Ellicott City, Md.

Kathleen W. Hyle
Senior Vice President, Constellation Energy; Chief Operating Officer, Constellation Energy Resources -
Kathleen W. (Kathi) Hyle was appointed Chief Operating Officer of Constellation Energy Resources in November 2008. In her role as Chief Operating Officer, Ms. Hyle oversees the operations and strategic direction of the company's commercial businesses. These include a customer supply operation that meets the power obligations of wholesale and retail customers and a global commodities operation that manages the market positions maintained by our merchant fleet and customer supply group.
Ms. Hyle joined Constellation Energy in 2003. Most recently, she served as Senior Vice President of Finance and Chief Financial Officer for Constellation Energy Nuclear Group and Chief Financial Officer of UniStar Nuclear Energy, LLC, a strategic joint venture between Constellation Energy and EDF.
Previously, Ms. Hyle held senior-level finance positions with Constellation Energy, where she oversaw accounting, treasury, tax and financial planning and analysis. Prior to joining Constellation Energy, Ms. Hyle held Treasurer and Chief Financial Officer positions with ANC Rental Corp., the parent company of Alamo Rent-A-Car and National Rent-A-Car, AutoNation, Inc., and Black and Decker Corporation.
A Baltimore native, Ms. Hyle earned a Bachelor of Arts degree in accounting from Loyola College in Baltimore.

Shon J. Manasco
Senior Vice President and Chief Human Resources Officer, Constellation Energy -
Shon Manasco was appointed Senior Vice President and Chief Human Resources Officer in August 2009. He is responsible for the overall strategy and integration of the human resources function across all of Constellation Energy.
Mr. Manasco joined Constellation Energy in April 2008 as the Vice President of Human Resources for Constellation Energy Resources, an organization that integrates the electrical generation assets with the marketing and risk management of energy and energy-related commodities. In this position, he was responsible for directing the overall human resources strategy, as well as leading learning and organizational effectiveness, diversity and talent acquisition across all of Constellation Energy.
Before joining Constellation Energy, he was a Senior Vice President with Bank of America where he held the role as the Head of Human Resources for several businesses to include Banc of America Securities (the Investment Banking arm), Banc of America Capital Management, Banc of America Investment Services, Inc., and Premier Banking. Mr. Manasco joined the Bank in 1997 and worked in the Private Banking Division.
Prior to moving to the private sector, Mr. Manasco served as an active duty officer in the United States Army. Captain Manasco commanded at Fort Bragg, N.C., deployed to Haiti during Operation Restore Democracy and was the Chief Financial Officer for an elite organization under the National Command Authority in Washington, DC.
Mr. Manasco holds a master's degree in business administration, with an emphasis in finance, from Southern Methodist University and a bachelor's degree in science with a concentration in systems engineering and business from the United States Military Academy at West Point.
A resident of Baltimore, Md., he is married with three boys.

Jonathan W. Thayer
Senior Vice President and Chief Financial Officer, Constellation Energy -
Jonathan W. Thayer was appointed Senior Vice President and Chief Financial Officer of Constellation Energy in October 2008. In his role as Chief Financial Officer, Mr. Thayer is responsible for all of Constellation Energy's financial matters, including information technology and operations, accounting, audit, financial planning, tax, treasury and investor relations activities.
Mr. Thayer joined Constellation Energy in 2002, at which time he served as Director, Investor Relations, responsible for managing Constellation Energy's relationships with shareholders and analysts. In 2004, he was appointed Vice President and Managing Director, Corporate Strategy & Development, responsible for strategic transaction analysis and planning. He was appointed Treasurer in August 2008.
Prior to joining Constellation Energy, Mr. Thayer held financial positions at Deutsche Bank Securities Inc. and SBC Warburg Dillon Read Inc., primarily focusing on mergers and acquisitions and financing transactions within the health care services, medical technology, biotechnology and pharmaceuticals industries.
Mr. Thayer served as a project officer in Mukono, Uganda from 1994-1995. He managed the Ugandan AIDS Project operations, including development and implementation of palliative AIDS care programs and implementation of administrative, training and supply networks for the Church of Uganda's rural health care initiative.
Mr. Thayer earned a bachelor's degree in history from Middlebury College, cum laude, and a master's degree in business administration from Harvard University. He has also earned the title of Eagle Scout. Mr. Thayer was the Chairman of Constellation Energy's 2006 and 2007 United Way Campaign and currently serves as a Board member of The United Way of Central Maryland and Family and Children's Services of Central Maryland. A resident of Baltimore, Md., Mr. Thayer is married and has two children.
